These Terms of Service ("Terms") govern your access to and use of the website, products, and services offered by Smart Web Labs ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
1. Services Description
Smart Web Labs is a global digital agency headquartered in Guwahati, Assam, India. We provide the following services to clients across the US, UK, UAE, India, and other regions:
- Website Development: Design, development, and deployment of custom websites, web applications, e-commerce platforms, and landing pages.
- Meta Ads Management: Strategy, creation, management, and optimization of advertising campaigns on Meta platforms (Facebook, Instagram, Messenger, and Audience Network).
- AI Automation: Design and implementation of AI-powered workflows, chatbots, process automation solutions, and intelligent business tools.
The specific scope, deliverables, timeline, and pricing for each project are detailed in a separate proposal or service agreement provided before work begins.
2. Acceptance of Terms
By submitting a contact form, signing a proposal, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Client Responsibilities
To ensure smooth project delivery, you agree to:
- Provide accurate, complete, and timely information, materials, and feedback as required for project execution.
- Designate a primary point of contact who has the authority to make decisions and approve deliverables.
- Review and respond to drafts, prototypes, and deliverables within the timeframes agreed upon in the project proposal.
- Ensure that all content, images, trademarks, and materials you provide to us do not infringe upon the intellectual property rights of any third party.
- Provide timely access to third-party accounts, platforms, and tools necessary for service delivery (e.g., Meta Business Manager, hosting accounts, domain registrars).
Delays caused by late or incomplete client input may extend project timelines and may incur additional fees as outlined in the project agreement.
4. Intellectual Property
Client Ownership
Upon receipt of full payment, you own all final deliverables created specifically for your project, including custom website designs, ad creatives, and automation workflows. This ownership does not extend to third-party tools, plugins, frameworks, or libraries used during development, which remain under their respective licenses.
Smart Web Labs Ownership
We retain ownership of our proprietary tools, templates, methodologies, pre-existing code libraries, and internal processes. We may also retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement states otherwise.
Third-Party Licenses
Projects may incorporate third-party software, plugins, fonts, or assets that carry their own licensing terms. We will inform you of any third-party components and their license requirements when applicable.
5. Payment Terms
- All pricing, payment schedules, and billing details are specified in the project proposal or service agreement.
- We typically require an upfront deposit (usually 50%) before commencing work, with the remaining balance due upon project completion or in agreed-upon milestones.
- For ongoing services (Meta Ads management, maintenance plans), invoices are issued monthly and are due within 15 days of receipt unless otherwise specified.
- Payments can be made via bank transfer, credit card, or other agreed-upon methods.
- Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
- We reserve the right to pause or suspend work on any project with overdue payments until the balance is cleared.
6. Project Changes and Revisions
Each project proposal includes a defined number of revision rounds. Requests that fall outside the original project scope (additional pages, new features, expanded ad campaigns) are considered change requests. We will provide a written estimate for any change request before proceeding. Additional revisions beyond the agreed-upon rounds may be billed at our standard hourly rate.
7. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This includes business strategies, financial data, technical specifications, login credentials, and any information marked as confidential. This obligation survives the termination of the service agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Smart Web Labs provides all services "as is" and makes no warranties, express or implied, regarding the results or outcomes of our work.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project or service giving rise to the claim.
- We are not responsible for downtime, data loss, or performance issues caused by third-party hosting providers, platform changes (including Meta platform updates), or circumstances beyond our reasonable control.
9. Warranties and Disclaimers
While we strive to deliver high-quality work, we do not guarantee specific business outcomes such as search engine rankings, ad conversion rates, revenue increases, or traffic volumes. Results depend on numerous factors beyond our control, including market conditions, competition, product quality, and client cooperation.
For Meta Ads services specifically, campaign performance is subject to Meta platform policies, algorithm changes, and audience behavior. We optimize within the tools and data available to us but cannot guarantee specific return on ad spend.
10. Termination
- By the client: You may terminate a project at any time by providing written notice. You remain responsible for payment of all work completed up to the termination date, plus any non-refundable third-party expenses already incurred.
- By Smart Web Labs: We may terminate or suspend services if you breach these Terms, fail to make timely payments, or provide materials that violate applicable laws. We will provide reasonable written notice before terminating, except in cases of material breach.
- Upon termination, we will deliver all completed work and materials to you, subject to full payment of outstanding balances.
11. Indemnification
You agree to indemnify, defend, and hold harmless Smart Web Labs, its team members, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our services, or any content or materials you provide that infringe upon third-party rights.
12. Force Majeure
Neither party shall be held liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, pandemics, government actions, internet outages, power failures, or cyberattacks. The affected party will notify the other party promptly and make reasonable efforts to resume performance as soon as possible.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of India. For clients based in the United States, United Kingdom, United Arab Emirates, or other jurisdictions, we will work in good faith to resolve disputes through the appropriate legal frameworks applicable in your region.
14. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation or binding arbitration. The venue for any legal proceedings shall be Guwahati, Assam, India, unless both parties agree otherwise in writing.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16. Changes to These Terms
We reserve the right to update these Terms at any time. When we make changes, we will revise the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms. For active clients, we will provide direct notice of significant changes via email.
