Client Ownership

Upon receipt of full payment, you own all final deliverables created specifically for your project, including custom website designs, ad creatives, and automation workflows. This ownership does not extend to third-party tools, plugins, frameworks, or libraries used during development, which remain under their respective licenses.

Smart Web Labs Ownership

We retain ownership of our proprietary tools, templates, methodologies, pre-existing code libraries, and internal processes. We may also retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement states otherwise.

Third-Party Licenses

Projects may incorporate third-party software, plugins, fonts, or assets that carry their own licensing terms. We will inform you of any third-party components and their license requirements when applicable.

Each project proposal includes a defined number of revision rounds. Requests that fall outside the original project scope (additional pages, new features, expanded ad campaigns) are considered change requests. We will provide a written estimate for any change request before proceeding. Additional revisions beyond the agreed-upon rounds may be billed at our standard hourly rate.

Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This includes business strategies, financial data, technical specifications, login credentials, and any information marked as confidential. This obligation survives the termination of the service agreement.

While we strive to deliver high-quality work, we do not guarantee specific business outcomes such as search engine rankings, ad conversion rates, revenue increases, or traffic volumes. Results depend on numerous factors beyond our control, including market conditions, competition, product quality, and client cooperation.

For Meta Ads services specifically, campaign performance is subject to Meta platform policies, algorithm changes, and audience behavior. We optimize within the tools and data available to us but cannot guarantee specific return on ad spend.

You agree to indemnify, defend, and hold harmless Smart Web Labs, its team members, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our services, or any content or materials you provide that infringe upon third-party rights.

Neither party shall be held liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, pandemics, government actions, internet outages, power failures, or cyberattacks. The affected party will notify the other party promptly and make reasonable efforts to resume performance as soon as possible.

These Terms are governed by and construed in accordance with the laws of India. For clients based in the United States, United Kingdom, United Arab Emirates, or other jurisdictions, we will work in good faith to resolve disputes through the appropriate legal frameworks applicable in your region.

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation or binding arbitration. The venue for any legal proceedings shall be Guwahati, Assam, India, unless both parties agree otherwise in writing.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
